Stuart Manson of Eden Marine Rescue said that they spoke by mobile phone with those on board.
"We were told that the pumps were keeping up in the early stages but as time went on they thought the pumps wouldn't be able to keep up," Mr Manson said.
The Westpac Lifesaver 23 helicopter was tasked to check out the situation before the Eden Water Police took over and reached the scene.
Sergeant Steven Judd of Eden Water Police said the yacht was 25 nautical miles south of Eden.

"It had engine troubles and was taking on water near the bow. With the sea and wind conditions (a strong north easterly) they required assistance.
Speaking to Australian Community Media from the Eden Water Police vessel, Sergeant Judd said the yacht would be checked out for damage.
"We are heading up to Disaster Bay and will be in the lee of the wind and we will be able to assess the situation," Sergeant Judd said.
The yacht, in tow, would then be brought into Eden.
